Madina is a partner and the Deputy Head of the Banking and Finance Department which is spearheaded by Mr. Sadock Magai.

In her capacity as deputy head, Madina is involved in several of the major banking and finance transactions which the Firm is engaged to advice.

Madina is also often involved in the various advisory assignments which the Firm is called to handle regarding competition issues in Tanzania, including merger applications, fair practices by regulators, issues concerning abuse of position of dominance and consumer protection laws.

She was admitted to the bar in 2011.

Professional Experience
  • Advised various telecommunication operators on the implication of the listing requirement introduced by the Finance Act 2016.
  • Advised New Forest Company Tanzania Limited in the USD 10 million secured lending transaction financed by the Finish Fund for Industrial Cooperation Limited.
  • Advised Standard Chartered Bank Johannesburg Branch in a USD 25 million secured lending transaction to a local borrower guaranteed by its parent company.
  • Advised Macquarie Bank in USD 10.6 million trade finance facility to a local underground mining service company which was secured, against borrower’s assets in Tanzania.
  • Advised Cooperative Rabobank in a secured USD 85 million uncommitted trade finance facility to a local oil marketing company and its affiliates which was secured against the financed assets.
  • Advised Export Development Canada on the repatriation of its term loan facility amounts and interest from Tanzania.
  • Advised Airtel Tanzania on the outsourcing of network facilities.
  • Advised various telecommunications on the impacts of the recently passed Regulations on online content regulations and the implication of the Electronic Transaction Act and its Regulations on Cryptographic & Certification Services and the requirement certification of electronic signatures by licensed Mobile Network Operators (MNO)
  • Advised Osborn Clerk LLP Facebook Inc. and WhatsApp on various matters including, licensing, content and tariff control, promotion and advertising, data protection, linking to third party sites, ICT legal frame work in Tanzania, liabilities of service and hyperlink providers under the Cyber Crimes Act, Electronic Postal Communication Act (EPOCA) Electronic Transactions Act, geospatial mapping and national security laws, unfair market practices under the Fair Competition Act and Regulations made thereunder and gambling laws.
  • Acted as lead advisers to a syndication of lenders led by Stanbic Bank Tanzania Ltd acting as the lead arranger on restructuring of Kagera Sugar Limited loan involving TZS. 81 Billion which was secured by a sovereign guarantee.
  • Acted as lead advisers to the Company for Habitat and Housing in Africa (Shelter Afrique) in a USD 14.5 million secured lending to the National Housing Corporation in Tanzania which was secured against the borrower’s properties.
  • Acted as legal advisers to Vodacom Tanzania Plc. on a USD 90 million syndicated borrowing from local banks including reviewing the terms of an LMA styled facility agreement.
  • Advising the Overseas Private Investment Corporation in relation to a loan guaranty facility for small and medium sized agribusiness in Tanzania to be made available to two local banks.
  • Acting as local advisers to Overseas Private Investment Corporation in a USD 32million secured lending to a Tanzania logistic company
  • Advised a petroleum exploration company on the new petroleum act 2015 and its local content obligations.
