Protase is a Senior Partner and founding member of IMMMA Advocates. Protase has been consistently voted as leading lawyer by IFLR’s and Chambers and Partners Global.

Protase counsels a broad range of clients in different industries in regulatory matters, corporate finance and restructuring. He has a special interest in Project Finance, Energy, oil and Gas, Infrastructure, Business Formation and Registration, Social Security, Telecommunications, Intellectual Property, Employment and Land Law practice.

Protase has vast experience acting for the Government of Tanzania. He was part of the team that drafted the new Companies Act and he advised the Ministry of Lands, Human Settlement and Development on the review of the Land Acquisition Act and making provisions for a new Land Acquisition and Compensation Bill.

He was admitted to the bar in 1994.

  • Master’s Degree in Business Administration specialising in International Banking & Finance from the University of Birmingham Business School (UK)
  • Advised the Federal Republic of Somalia with respect to the provision of legal advisory services related to the Somalia Production Sharing Agreement Toolkit Project. Protase led the team in drafting a Production Sharing Agreement and negotiation manual for the Government of Somalia for the exploration and extraction of oil within the Somalia jurisdiction.
  • Advised Berkley energy and Sinotan Tanzania Limited on a 100 MW wind power project in the Tanzania highlands in Iringa as lead counsel. He assised in negotiations in power purchase agreement, restructuring of the local company as an investment vehicle and advising on the legal aspects of financing for the project.
  • Advised Rakgas Tanzania Limited on a Product Sharing Agreement with Tanzania Petroleum Development Corporation and The Government of the United Republic of Tanzania as well as with regard to a concession and development agreement for the development of a gas pipeline.
  • Issued regular advice to Songas Tanzania Limited and the Tanzania Electrical Supply Company Limited (“Tanesco”) with regard to power purchase agreements and other energy related matters.
  • Advised Black Ivy for the concession to develop an inland dry port together with associated rail links and access roads at Kibaha Coast Region in Tanzania.
  • Acted as the Head legal adviser to Ruhudji Power Company Limited. The project involved Aldwych International, a recognized leader in the power sector across the globe and aims to develop a hydropower plant in the Njombe District, Tanzania.
  • Advised on Regulatory requirements, drafting documents and incorporating Metropolitan Tanzania Life Assurance Company
  • Advised on Competition and Regulatory issues towards thr change from Momentum to Metropolitan Tanzania Insurance Company Limited following the Merger of Metropolitan Insurance and Momentum Insurance companies in South Africa. This was concluded.
  • Advised on the transformation of Momentum Insurance from a brokerage firm into a fully-fledged General Insurance Company.
  • Advised the World Bank on a project aimed at mobilizing private sector agribusiness funds and investments in line with public sector commitments to achieve prompt and sustainable growth of the agricultural sector in the southern corridor of Tanzania.
  • Acted as a Team Leader (Legal Component) for the transformation of the Local Authorities Provident Fund into an autonomous Pension Fund.
  • Has worked closely with other partners as Legal Consultants in the divestiture of various companies working on the side of Public Sector Reform Commission in some cases and on the side of buyers in other cases. He has handled a number of project finance and syndicated loan transactions involving numerous financing houses. In most of these assignments, the Consultants had to review sector specific legislations and draft new legislation to pave the way for privatization and also advise and manage the privatization process.
  • He was a co-consultant in the Privatization of Air Tanzania Company and Tanzania Railways Corporation and this included drafting of laws and regulations not only to facilitate the privatization but also to regulate the sector.
  • He was part of the team that provided legal advisory services to the PSRC in connection with the Privatization of UDA, the Dar es Salaam City Bus Service provider.
